TOAVID TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your access to and use of the ToaVid mobile applications, websites, APIs, and related services (collectively, the "Services").
These Terms form a binding agreement between you and the current operator of the Services acting under the ToaVid name ("ToaVid," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
2. OPERATOR AND SERVICE STATUS
ToaVid is an early-stage, pre-launch project operated under the ToaVid name and does not yet represent a separate legal entity.
Until a separate legal entity is formed to operate the Services, references in these Terms to "ToaVid," "we," "us," or "our" refer to the current operator of the Services acting under the ToaVid name.
The Services are provided in a developmental, pre-launch state. Features may change, be unavailable, contain errors, or be discontinued at any time.
Nothing in the Services or related materials constitutes a binding commitment that any feature, roadmap item, launch date, or future service will be made available.
3. ELIGIBILITY
You must:
- be at least 13 years old, or the minimum age required to use the Services in your jurisdiction, whichever is higher
- have the legal capacity to agree to these Terms
- not be prohibited from using the Services under applicable law
If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" includes that organization.
4. USER ACCOUNTS
You are responsible for:
- maintaining the confidentiality and security of your login credentials
- all activity that occurs under your account
- providing accurate information when registering and keeping it reasonably up to date
You agree not to:
- share accounts or credentials
- impersonate another person or entity
- create accounts for abusive, deceptive, fraudulent, or unauthorized purposes
- attempt to gain unauthorized access to any account, system, or data
We may suspend, restrict, or terminate accounts that violate these Terms or create risk to users, the Services, or third parties.
5. INTELLECTUAL PROPERTY AND SERVICE MATERIALS
Except for User Content, the Services, including software, interfaces, design elements, text, graphics, logos, trademarks, branding, audiovisual materials, and other service materials, are owned by or licensed to ToaVid and are protected by applicable intellectual property and other laws.
Except as expressly permitted by these Terms, no right, title, or interest in the Services or related materials is granted to you.
All rights not expressly granted are reserved.
If you believe content on the Services infringes your rights, you may submit a notice to legal@toavid.io with sufficient detail for us to evaluate the claim. We may remove or restrict access to content in response to claims we believe are credible, valid, or legally sufficient.
6. USER CONTENT
6.1 Your Content
You retain ownership of content you submit, upload, publish, or otherwise make available through the Services ("User Content"), subject to the rights you grant in these Terms.
6.2 License to ToaVid
By making User Content available through the Services, you grant ToaVid a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, process, adapt, format, display, perform, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, secure, improve, moderate, and promote the Services and related features.
This license includes the right to use service providers and technical subprocessors acting on our behalf to perform the same functions for the same purposes.
This license ends within a commercially reasonable time after your User Content is deleted from the active Services, except to the extent:
- the content has been shared with others and they have not deleted it
- the content remains in backups, logs, caches, or disaster-recovery systems for a limited period
- retention is reasonably necessary for legal, safety, fraud-prevention, or enforcement purposes
6.3 Responsibility for Content
You are solely responsible for your User Content and represent and warrant that:
- you own or control the rights necessary to submit and use that content in connection with the Services
- your User Content and your use of it do not violate these Terms or applicable law
You may not upload, publish, or share User Content that:
- infringes intellectual property, privacy, publicity, or other rights
- is unlawful, fraudulent, deceptive, abusive, harassing, defamatory, or threatening
- contains malware, malicious code, or other harmful material
- violates export controls, sanctions, or other applicable laws or regulations
6.4 Feedback
If you provide ToaVid with ideas, suggestions, feedback, or recommendations about the Services, you grant ToaVid a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation to you.
7. PLATFORM RULES AND ENFORCEMENT
We may, at our discretion and as permitted by law:
- remove, restrict, or refuse content
- limit visibility, distribution, ranking, or availability of content or accounts
- issue warnings
- apply temporary or permanent restrictions
- suspend or terminate access to the Services
We may take these actions if we believe content or behavior:
- violates these Terms or other platform rules
- harms users, third parties, or the Services
- creates legal, trust, safety, security, or operational risk
Enforcement may involve automated systems, human review, or both.
8. PROHIBITED USES
You agree not to:
- use the Services for unlawful purposes or in violation of applicable law
- interfere with, disrupt, damage, or compromise the security or operation of the Services
- probe, scan, or test vulnerabilities without authorization
- reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law from restricting that activity
- scrape, harvest, crawl, or extract data at scale without our prior written permission
- bypass rate limits, access controls, or protective measures
- use bots or automation in a way that burdens the Services or misrepresents human activity
- upload malware or harmful code
- use the Services to infringe the rights of others
9. THIRD-PARTY SERVICES
The Services may rely on or interact with third-party systems, providers, or platforms, including hosting, storage, authentication, analytics, communications, or sharing tools.
We do not control third-party services, and we are not responsible for their availability, performance, content, or policies. Your use of third-party services is at your own risk and may be subject to separate terms or policies.
10. SERVICE AVAILABILITY
The Services are provided on a pre-launch, evolving basis.
We do not guarantee:
- uptime, availability, or uninterrupted access
- feature continuity or backward compatibility
- data retention or persistence
- that the Services will be error-free, fully secure, or free of bugs or other harmful components
We may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice.
11. DISCLAIMERS
To the maximum extent permitted by law, the Services are provided "as is" and "as available."
We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, or reliability.
You use the Services at your own risk.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, ToaVid and its current and future owners, operators, officers, directors, employees, contractors, agents, service providers acting on its behalf, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, revenue, profits, goodwill, business opportunity, or service interruption, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of ToaVid arising out of or relating to the Services or these Terms will not exceed the greater of:
- one hundred U.S. dollars (USD $100), or
- the amount you paid to ToaVid for the Services in the twelve months before the event giving rise to the claim
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you.
13. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ToaVid and its current and future owners, operators, officers, directors, employees, contractors, agents, service providers acting on its behalf, successors, and assigns from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your use of the Services
- your User Content
- your violation of these Terms
- your violation of applicable law or the rights of a third party
14. TERMINATION
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason consistent with applicable law.
You may stop using the Services at any time.
Upon termination:
- your right to use the Services ends immediately
- we may deactivate or delete your account and related data subject to our retention practices
- Sections that by their nature should survive termination will remain in effect, including sections relating to User Content licenses already granted, intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions
15. PRIVACY
Your use of the Services is also governed by the ToaVid Privacy Policy.
16. GOVERNING LAW
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles.
17. DISPUTE RESOLUTION
17.1 Informal Resolution
Before filing a legal claim, you agree to contact us at legal@toavid.io and attempt in good faith to resolve the dispute informally.
17.2 Venue
If a dispute cannot be resolved informally, and unless applicable law requires otherwise, the parties agree that the state or federal courts located in Michigan will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue in those courts.
18. CHANGES TO TERMS
We may update these Terms from time to time.
If we make material changes, we may provide additional notice as appropriate. The updated Terms will become effective when posted or on any later effective date stated in the updated Terms.
By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
19. MISCELLANEOUS
These Terms constitute the entire agreement between you and ToaVid regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Any failure by ToaVid to enforce a provision of these Terms is not a waiver of that provision.
ToaVid may assign or transfer these Terms, in whole or in part, including to a future legal entity formed to operate the Services, in connection with a financing, restructuring, merger, acquisition, asset transfer, or similar transaction.
You may not assign or transfer these Terms without our prior written consent.
